David, I'll give you a couple more options. You can use a spray adhesive made by "Tree House Studio" . It is acid free, high tack, multi-purpose adhesive. 3M might make something similar. If there is a fabric store nearby, you can get squares of felt that already have adhesive on them. You can also get felt by the yard (no adhesive).
 
I used Lee Valley's flocking on a pen case I made. It turned out really nice for that but suspect it wouldn't wear well in a tool box.
